Terms of Service

These Terms of Service govern your access to and use of the OralExam.AI platform. Please read them carefully before using our services.

Section 1

Acceptance of Terms

By accessing or using the OralExam.AI platform, website, or any associated services (collectively, the “Service”), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service (“Terms”). If you are using the Service on behalf of an educational institution or other organization, you represent and warrant that you have the authority to bind that entity to these Terms, and the terms “you” and “your” shall refer to that entity.

If you do not agree to these Terms, you must not access or use the Service. Your continued use of the Service following the posting of any changes to these Terms constitutes acceptance of those changes.

Section 2

Description of Service

OralExam.AI provides an AI-facilitated oral examination and course assessment platform designed for use in educational settings. The Service includes, but is not limited to:

AI-powered oral examination tools that generate personalized questions based on student submissions and conduct voice-based assessments
Course management and assignment administration features for educators and institutional administrators
Learning verification and student learning outcome (SLO) tracking across courses and semesters
Dual-model AI evaluation systems for fair and evidence-based authenticity assessment
Reporting, analytics, and data export capabilities for academic review and accreditation purposes

OralExam.AI reserves the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We will make commercially reasonable efforts to notify users of material changes in advance.

Section 3

Account Registration and Responsibilities

To access certain features of the Service, you must create an account. When registering, you agree to:

Provide accurate, current, and complete information during the registration process
Maintain and promptly update your account information to keep it accurate and complete
Maintain the security and confidentiality of your login credentials and not share your account with any third party
Immediately notify OralExam.AI of any unauthorized use of your account or any other breach of security
Accept responsibility for all activities that occur under your account

OralExam.AI reserves the right to suspend or terminate accounts that contain inaccurate information, are used in violation of these Terms, or have been inactive for an extended period, in accordance with applicable law.

Authorized Users

Accounts may only be created and used by individuals who are authorized to do so by their educational institution or who have independently registered for the Service. Educators are responsible for ensuring that student access to the Service is provided in accordance with their institution's policies and applicable law.

Section 4

Institutional Agreements

Educational institutions that deploy OralExam.AI at an organizational level may be subject to a separate Institutional Service Agreement (“ISA”) that governs the relationship between OralExam.AI and the institution. In the event of a conflict between these Terms and an executed ISA, the ISA shall control with respect to the institution's use of the Service.

Institutional Administrator Responsibilities

Institutional administrators who manage the Service on behalf of their organization are responsible for:

Configuring account permissions and access controls in accordance with their institution's policies
Ensuring that all users within their institution are informed of and comply with these Terms
Managing the onboarding and offboarding of faculty and student users
Coordinating with OralExam.AI on data handling, retention, and deletion requests as required by institutional policy or applicable law

Section 5

Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not, and shall not permit any third party to:

Use the Service in any manner that violates applicable local, state, national, or international law or regulation
Attempt to circumvent, disable, or otherwise interfere with the assessment process, including but not limited to using unauthorized aids, proxy test-takers, or automated response tools during oral examinations
Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity
Interfere with or disrupt the integrity or performance of the Service or the data contained therein
Attempt to gain unauthorized access to the Service, other user accounts, or any related systems or networks
Use the Service in any way that undermines academic integrity or the educational purpose for which the platform is designed

Academic Integrity

OralExam.AI is designed to support and uphold academic integrity. All users are expected to engage with the Service honestly and in good faith. Students must complete oral examinations independently, using only their own knowledge and understanding. Any attempt to misrepresent one's understanding or to manipulate assessment outcomes may result in immediate account suspension and referral to the relevant educational institution for disciplinary action.

Section 6

Intellectual Property

OralExam.AI Property

The Service, including all software, algorithms, user interface designs, documentation, trademarks, logos, and other intellectual property associated with OralExam.AI, are and shall remain the exclusive property of OralExam.AI and its licensors. These Terms do not grant you any right, title, or interest in the Service except for the limited right to use it in accordance with these Terms.

User Content

You retain all ownership rights in any content, submissions, assignments, and other materials you upload, submit, or otherwise make available through the Service (“User Content”). By submitting User Content, you grant OralExam.AI a non-exclusive, worldwide, royalty-free license to use, process, store, and display such User Content solely for the purpose of providing and improving the Service.

OralExam.AI will not sell, share, or distribute User Content to third parties except as necessary to provide the Service, as required by law, or as expressly authorized by you or your institution.

Section 7

Student Data and Privacy

OralExam.AI is committed to protecting the privacy and security of all user data, including student education records. Our collection, use, and disclosure of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

FERPA Compliance

To the extent that OralExam.AI receives student education records from educational institutions subject to the Family Educational Rights and Privacy Act (“FERPA”), OralExam.AI acknowledges that it functions as a “school official” with a “legitimate educational interest” under FERPA and agrees to:

Use personally identifiable information from education records only for the purposes for which the disclosure was made
Not re-disclose personally identifiable information to third parties without proper authorization unless permitted under FERPA
Implement and maintain appropriate administrative, technical, and physical safeguards to protect the confidentiality and integrity of student education records

Section 8

Disclaimers and Limitation of Liability

Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. ORALEXAM.AI DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

Assessment Tool Disclaimer

OralExam.AI is designed as a supplementary assessment tool and is not intended to be a substitute for professional academic judgment. Assessment results generated by the Service are informational and advisory in nature. Final grading and academic decisions remain the sole responsibility of the instructor and the educational institution. OralExam.AI makes no guarantee as to the accuracy, completeness, or reliability of any assessment output.

Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ORALEXAM.AI, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF ORALEXAM.AI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

ORALEXAM.AI'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO ORALEXAM.AI IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Section 9

Indemnification

You agree to indemnify, defend, and hold harmless OralExam.AI, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

Your use of or access to the Service
Your violation of these Terms
Your violation of any third-party right, including any intellectual property, privacy, or proprietary right
Any User Content you submit, post, or otherwise make available through the Service
Any claim that your use of the Service caused damage to a third party

This indemnification obligation shall survive the termination or expiration of these Terms and your use of the Service.

Section 10

Termination

Either party may terminate these Terms at any time. OralExam.AI may suspend or terminate your access to the Service immediately, without prior notice or liability, for any reason, including if you breach any provision of these Terms. You may terminate your account at any time by contacting us or using the account deletion feature within the Service.

Effect of Termination

Upon termination of your account:

Your right to access and use the Service will cease immediately
OralExam.AI may, but is not obligated to, delete your account data and User Content in accordance with our data retention policies and applicable law
For institutionally managed accounts, data deletion will be coordinated with the relevant institutional administrator in accordance with the applicable Institutional Service Agreement
Upon request, OralExam.AI will provide a reasonable opportunity to export your data prior to deletion, subject to technical feasibility and applicable law

All provisions of these Terms which by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

Section 11

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of [State], without regard to its conflict of law provisions. You agree that any legal action or proceeding arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the state and federal courts located in [State].

Binding Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall be settled by binding arbitration administered by the American Arbitration Association (“AAA”) in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted by a single arbitrator in [State]. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement or misappropriation of intellectual property rights.

Class Action Waiver

YOU AND ORALEXAM.AI AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Unless both parties agree otherwise, the arbitrator may not consolidate or join more than one person's or party's claims and may not otherwise preside over any form of a consolidated, representative, or class proceeding.

Section 12

Changes to Terms

OralExam.AI reserves the right to modify or replace these Terms at any time at our sole discretion. When we make material changes, we will:

Update the “Effective Date” at the top of these Terms
Provide notice via email to the address associated with your account, or through a prominent notice within the Service, at least thirty (30) days before the changes take effect
For institutional accounts, notify the designated institutional administrator

Your continued use of the Service after the effective date of any revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must discontinue your use of the Service before the changes take effect.
